General terms and conditions of sale
Courtesy translation — the French version prevails. This English text is provided for information only. In the event of any discrepancy, the French version is the only authoritative text: Conditions générales de vente.
1. Purpose
These general terms and conditions of sale (hereinafter the “Terms”) set out the rights and obligations of CONTINUITIS SAS à capital variable (variable capital, minimum EUR 35,000), registered with the Bastia Trade and Companies Register under number 898 291 711, whose registered office is at Haut Chemin du village Austinca, 20287 Meria, France, EU VAT number FR96898291711, reachable on +33 9 72 19 82 88 and at [email protected] (hereinafter the “Publisher”) and of the user (hereinafter the “Customer”) in connection with the subscription to and use of the Continuitis service.
Continuitis is a digital legacy service that enables the Customer to encrypt messages, documents and passwords and to schedule their automatic transmission to the beneficiaries the Customer has designated.
2. Plans and prices
The service is offered as an annual subscription, as well as the Éternité plan paid in a single payment, according to the following plans:
| Plan | Price incl. VAT | Main features |
|---|---|---|
| Souvenir | 49 EUR/year | 2 beneficiaries, 5 messages, 2 videos, 2 albums, 10 passwords, 5 documents, 5 GB |
| Héritage | 109 EUR/year | 5 beneficiaries, 15 messages, 10 videos, 5 albums, 30 passwords, 20 documents, 20 GB |
| Lignée | 199 EUR/year | Unlimited content and beneficiaries, 100 GB |
| Éternité | 499 EUR | Single payment, same features as the Lignée plan, lifetime access with no renewal |
Prices are stated in euros including VAT. Every new user benefits from a 14-day free trial with no bank card required; an invitation or partner code entered when the account is created may extend it or grant another benefit, on the terms stated on the material through which it is given. Any price change is notified to the Customer by e‑mail at least three (3) months before the renewal concerned, and only applies from that renewal; the Customer may cancel free of charge before that date.
Launch price. For any subscription taken out up to and including 31 January 2027, the plans are offered at the launch price: Souvenir EUR 34/year, Héritage EUR 76/year, Lignée EUR 139/year, Éternité EUR 299 (one-off payment). By way of exception to the previous paragraph, this price continues to apply at each renewal for as long as the subscription is renewed without interruption and on the same plan, save for any change in the VAT rate.
Referral. The Customer may recommend Continuitis with their personal referral code. The referred person enters this code when creating their account; they then receive a 50% discount on the first invoice of an annual Souvenir, Héritage or Lignée subscription, excluding the Éternité plan, the trial and renewals. The referrer is rewarded once per referred person, on that person's first successful payment, up to ten (10) rewards: if they are a paying subscriber, with a credit equal to 50% of the price of their plan shown in the table above, excluding the launch price (EUR 24.50 for Souvenir); if they are on a trial, or if their account has expired, been cancelled or suspended, with one hundred and eighty (180) additional days of trial; if they have taken out the Éternité plan, they receive no reward. An account can be referred only once, and never by itself.
Add-ons. A Customer holding a currently valid plan may extend the limits of their plan with the following add-ons, sold as a one-off payment and stated in euros including VAT:
- Additional beneficiary (EUR 35) — adds one (1) beneficiary to the plan limit. This add-on can be purchased only once per account;
- Pack Mémoire (EUR 29) — adds three (3) videos, three (3) photo albums and five (5) text messages. It may be purchased several times, the quantities being cumulative;
- Pack Stockage (EUR 19) — adds ten (10) GB of storage space. It may be purchased several times, the quantities being cumulative.
The add-ons extending the beneficiaries’ access period (Legacy extension, Storage extension) are described in Article 5.
3. Subscription and payment
Subscriptions are taken out online at app.continuitis.fr. Payment is made by bank card through a secure payment service provider, Stripe Payments Europe Ltd (Ireland).
The subscription renews automatically on each anniversary date, unless the Customer has cancelled it beforehand.
In accordance with Articles L.215-1 to L.215-3 of the French Consumer Code, the Publisher informs the Customer by email, no earlier than three months and no later than one month before the end of the current subscription period, of their right not to renew the subscription. If this information is not provided, the Customer may end the subscription free of charge at any time from the renewal date; any sums paid after that date are then refunded within thirty days of the termination date, less those corresponding to the service performed up to termination.
The service is available from the age of fifteen (15). Any purchase made from an account whose holder is under eighteen (18) years of age requires the prior authorisation of their legal representative: taking out a subscription or the Éternité plan, changing plans, resuming a subscription, purchasing an add-on (Additional beneficiary, Pack Mémoire, Pack Stockage, Legacy extension or Storage extension). The account holder confirms that they have obtained this authorisation by ticking the box provided for this purpose at each payment; the confirmation is timestamped on the order at the payment provider and in the Publisher’s audit log (nature of the purchase and date of the confirmation). The automatic renewal of a subscription taken out in this way is covered by the initial authorisation.
No payment is possible until the account holder’s date of birth has been entered in their personal area.
4. Periodic proof-of-life check
Transmission of the legacy requires the Publisher to be informed of the Customer’s death. To that end, the service relies on several independent signals, including a periodic proof-of-life check (referred to as “heartbeat” in the personal area): at regular intervals, the Publisher sends the Customer an email asking them to confirm that all is well. A single click is enough to reply.
This check is active from the moment the account is created, at a default frequency of six (6) months. From their personal area, the Customer may at any time:
- set this frequency to three (3), six (6) or twelve (12) months;
- suspend the emails during a period of absence (“holiday mode”), for a maximum of 180 days per period;
- report that they are alive, which resets the signals already collected.
A reminder is sent before a lack of response is recorded. A lack of response does not, on its own, trigger any transmission: it is the lowest-weighted signal in the detection system. Any transmission requires several concurring signals, followed by a human verification by the Publisher.
This email is a service message, inseparable from the performance of the contract within the meaning of Article 6.1.b of the GDPR: it does not constitute commercial prospecting and is therefore not subject to the unsubscribe regime applicable to commercial communications. The Customer controls its frequency and its suspension under the conditions set out above; permanently declining to reply deprives the detection system of its most regular signal.
5. Transmission and retention period of the legacy after death
When the Customer’s death is confirmed at the end of the procedure described in Article 4, the content intended for the Customer’s beneficiaries is made available to them.
Beneficiaries’ access period. Each beneficiary has six (6) months from the activation of their access to view and download the content intended for them. This period is included in the subscription at no extra cost.
It may be extended by two paid options, offered in addition to the subscription and stated in euros including VAT:
- Legacy extension (EUR 10) — taken out by the Customer during their lifetime, for a specific beneficiary: that beneficiary’s access period increases from six (6) to thirty-six (36) months;
- Storage extension (EUR 20) — taken out by the beneficiary themselves after the death: eighteen (18) months are added to the current period, i.e. twenty-four (24) months, or fifty-four (54) months at most when both options are combined.
The availability of these options is shown in the Customer’s personal area for the first, and in the beneficiary’s receiving area for the second.
Expiry and deletion. When the access period expires, a grace period of thirty (30) days begins, during which the content is not yet deleted and an extension remains possible. At the end of this period, the content, the encryption keys and the associated records are permanently deleted in accordance with the GDPR. This deletion is irreversible.
If an extension is paid for when the content has already been deleted, it is not applied and the payment is refunded in full.
This retention period applies specifically to the legacy passed on to the beneficiaries. It is distinct from the ninety (90) day period applicable to the Customer’s account during their lifetime, described in Article 7.
6. Right of withdrawal
In accordance with Articles L.221-18 et seq. of the French Consumer Code (Code de la consommation), the consumer Customer has a period of fourteen (14) days to withdraw, without having to give reasons or pay any penalty. This period runs from the day of the paid subscription to a plan or to the Éternité offer. The 14-day free trial, which involves no payment, does not start this period.
This period is calculated in accordance with Article L.221-19 of the French Consumer Code: the day the contract is concluded is not counted, and a period that expires on a Saturday, Sunday or public holiday is extended to the next working day.
Online withdrawal. In accordance with Articles L.221-21 and D.221-5 of the French Consumer Code, the Customer may withdraw directly from the subscription area of their account: the link “Withdraw from the contract here”, then the button “Confirm the withdrawal”. An acknowledgement of receipt is sent to them by e‑mail straight away. The subscription ends immediately and the Customer is refunded in full, within fourteen (14) days, to the payment method used at subscription, in accordance with the thirty-day guarantee below.
The Customer may also send the Publisher, before the period expires, the model form below or any other unambiguous statement, by e‑mail to [email protected]. The Publisher acknowledges receipt without delay on a durable medium.
Immediate performance. When subscribing, the Customer may expressly request that the service begin before the end of the withdrawal period. If they then withdraw, they pay the Publisher an amount proportionate to the service provided up to their statement, calculated pro rata of the total price (Article L.221-25 of the French Consumer Code). No amount is due if the Customer has not made this request.
The Publisher refunds the Customer all payments received no later than fourteen (14) days after being informed of their decision, using the same means of payment, free of charge, less, where applicable, the amount due for immediate performance.
Beyond the statutory period, Continuitis offers a thirty (30) day money-back guarantee from the first payment, including for the Éternité plan (one-off payment). On simple request by email to [email protected], with no reason or proof required, the Customer is refunded in full within fourteen (14) days, using the same means of payment. During these thirty days, the refund is in full, with no deduction for immediate performance.
Model withdrawal form (complete and return this form only if you wish to withdraw from the contract):
To CONTINUITIS SAS, Haut Chemin du village Austinca, 20287 Meria, France — [email protected]:
I/We (*) hereby give notice that I/We (*) withdraw from my/our (*) contract for the provision of the following service:
Ordered on (*)/received on (*):
Name of consumer(s):
Address of consumer(s):
Signature of consumer(s) (only if this form is notified on paper):
Date:
(*) Delete as appropriate.
7. Cancellation
The Customer may cancel their subscription at any time from their personal area. Cancellation takes effect at the end of the current subscription period, with no pro rata refund.
End of subscription — grace period of at least 90 days. After cancellation, as on expiry of the free trial without a subscription being taken out, the Customer’s encrypted data is kept, then deleted in accordance with the GDPR no earlier than ninety (90) days after the end of the subscription, and never without seven (7) days’ notice: a notice email is sent to the address associated with their account at least seven (7) days before deletion. Both situations are governed by the same rules.
Trusted contact. If the Customer has designated one or more trusted contacts and has not logged in to their account since the first notice email, Continuitis notifies each of them by email of the upcoming deletion (for a minor contact, their legal representative). This email is sent no earlier than fourteen (14) days before the end of the grace period, and never less than sixteen (16) days after that notice. The trusted contact has no access to any content. Deletion then takes place no earlier than thirty (30) days after this email. The Customer is informed of this when designating their trusted contact.
Account opened with an accompanied-access code. If the Customer opened their account with an accompanied-access code and has not logged in to their account since the first notice email, their data is kept for twelve (12) months beyond the grace period. This date is final. The notice emails are sent again before it, including the seven (7)-day one.
During these ninety (90) days, death cover is maintained: the periodic proof-of-life check (Article 4) remains active and, if a death occurs or a verification procedure is opened during this period, transmission to the beneficiaries takes place normally and deletion is suspended. At the end of this period, the data is deleted and cover ends.
The Customer may at any time request the immediate deletion of their data, without waiting for this period to expire.
This ninety (90) day period concerns the Customer’s account during their lifetime. It is distinct from the retention period of the legacy passed on to the beneficiaries after death, governed by Article 5.
8. Service availability
The Publisher aims for service availability of 99.9% (excluding scheduled maintenance operations). This target is not a contractual service-level commitment. In the event of prolonged unavailability, the Customer is informed by email. This article does not limit the consumer Customer's rights under the statutory guarantee of conformity (article 9).
9. Legal guarantee of conformity
Continuitis is a digital service supplied continuously for the whole term of the subscription. A Customer who is a consumer benefits from the legal guarantee of conformity under the conditions set out in Articles L.224-25-1 et seq. of the French Consumer Code: it covers any lack of conformity that appears during the period of supply of the service.
The consumer has two years from the supply of the digital content or digital service to enforce the legal guarantee of conformity if a lack of conformity appears. For one year from the date of supply, the consumer only has to establish the existence of the lack of conformity, not the date on which it appeared.
The legal guarantee of conformity entails the obligation to supply all updates necessary to keep the digital content or digital service in conformity.
The legal guarantee of conformity entitles the consumer to have the digital content or digital service brought into conformity without undue delay following their request, free of charge and without significant inconvenience to them.
The consumer may obtain a price reduction while keeping the digital content or digital service, or may terminate the contract and obtain a full refund in exchange for giving up the digital content or digital service, if:
1° The trader refuses to bring the digital content or digital service into conformity;
2° Bringing the digital content or digital service into conformity is unjustifiably delayed;
3° The digital content or digital service cannot be brought into conformity without costs being imposed on the consumer;
4° Bringing the digital content or digital service into conformity causes significant inconvenience to the consumer;
5° The lack of conformity of the digital content or digital service persists despite the trader's unsuccessful attempt to bring it into conformity.
The consumer is also entitled to a price reduction or to terminate the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination.
Where the lack of conformity is minor, the consumer is entitled to cancel the contract only if the contract does not provide for payment of a price.
Any period during which the digital content or digital service is unavailable while it is being brought into conformity suspends the remaining guarantee period until the digital content or digital service is supplied in conformity again.
The rights mentioned above result from the application of Articles L.224-25-1 to L.224-25-31 of the French Consumer Code.
A trader who in bad faith obstructs the enforcement of the legal guarantee of conformity is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of average annual turnover.
The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code, for two years from the discovery of the defect.
10. Liability
The Publisher implements all reasonable means to ensure the proper functioning of the service. It cannot be held liable in the event of:
- Force majeure within the meaning of Article 1218 of the French Civil Code (Code civil)
- Loss or disclosure of the master password by the Customer, where it is the sole cause of the damage, without prejudice to the account recovery procedure described below
- Non-compliant use of the service by the Customer
Master password and account recovery. Your content is encrypted with a key protected by your master password. If you lose it during your lifetime, you may request an account recovery. It is requested by one of the Publisher's administrators, approved by a second one, can only be carried out after a 24‑hour delay and is fully logged. Until it is completed, your encrypted content remains inaccessible. Nothing in this article limits the Publisher's liability in the event of gross negligence or wilful misconduct, or personal injury, nor the rights the consumer Customer holds under the law, in particular the legal guarantee of conformity of digital services (Articles L.224-25-12 et seq. of the French Consumer Code).
11. Continuity clause
In the event of a decision by CONTINUITIS SAS to cease trading: (1) all Customers will be notified by email, with a minimum notice period of three (3) months; (2) no subscription is renewed from that notification onwards; (3) access to the service and the data export function, free of charge and in a commonly used, machine-readable format, are maintained throughout the notice period; (4) CONTINUITIS SAS will use its best endeavours to complete the death verifications and transmissions in progress at the time of the announcement; (5) no later than the end of the notice period, the Publisher refunds the part of the price corresponding to the period not provided: for a subscription, pro rata to the time remaining after the end of the notice period; for the Éternité plan (one-off payment), pro rata to the time remaining over a reference period of ten (10) years from payment, based on the price actually paid; (6) at the end of the notice period, the data will be deleted in accordance with the privacy policy and the GDPR.
In the event of insolvency proceedings (receivership or judicial liquidation), CONTINUITIS SAS will use its best endeavours to ensure that these commitments are honoured, in compliance with the rules that then apply to it.
12. Governing law and disputes
These Terms are governed by French law. In the event of a dispute, the Customer is invited to first send a written complaint to the Publisher (contact details in the legal notice), in order to seek an amicable solution.
In accordance with Articles L.612-1 et seq. of the French Consumer Code, if that complaint is unsuccessful, the consumer Customer may refer the dispute free of charge to the consumer mediator to which the Publisher belongs:
CM2C — Centre de la Médiation de la Consommation de Conciliateurs de justice
49 rue de Ponthieu, 75008 Paris, France
Online referral: www.cm2c.net
The Customer must show that they first tried to resolve the dispute directly with the Publisher, and must refer it to the mediator within one year of their written complaint (Article L.612-2 of the French Consumer Code).
Failing an amicable resolution, the French courts shall have sole jurisdiction.
